This Order Form No. [Order-ID] (“ Order Form ”) is made effective as of [Order-Date] (“ Order Form Effective Date ”) by and between Astralabs Inc. (“ Accelerator ”) and the client identified below (“ Member ”), and is entered into under and forms part of the Newchip Accelerator Master Membership Agreement between Accelerator and Member dated [Order-Date] (“ Agreement ”). If there is any conflict between the terms set forth on this Order Form and any other terms of the Agreement, the terms of this Order Form will prevail and will amend and supersede the conflicting terms of the Agreement. Capitalized terms not defined in this Order Form have the meanings given in the Agreement.

Term This Order Form commences on the Order Form Effective Date and continues in effect for the Program Period.
Services Accelerator agrees to arrange [up to] fifteen (15) Meetings (as defined below).
“ Meeting(s) ” shall mean a meeting or strategic introduction with a potential investor that is the result of the scheduling, communications, and other efforts of the Accelerator. In the case where a Meeting results in the attendance of multiple potential investors, the parties agree that each potential investor (up to a maximum of seven (7)) shall constitute a unique Meeting for the purposes of this definition.
Member is required to attend all Meetings arranged by the Accelerator; provided however, that within ten (10) days following the applicable Meeting, Member may email [email protected] to receive access to the investor quality assurance submissions form to submit a request for a replacement Meeting. Accelerator, in its sole discretion, may approve a request for replacement Meeting for the following reasons only: (1) the investor does not invest in Member’s geography or industry; (2) the investor is not an active investor (e.g., has not made active investments in the preceding twelve (12) months); or (3) the investor did not show up to the Meeting and did not respond to reschedule.
Fees Member shall pay Accelerator fees of $150 per Meeting. All amounts payable to Accelerator under this Order Form will be due prepaid and in advance.
Additional Terms For clarity, and notwithstanding anything to the contrary in Section 6 of the Agreement, the parties agree the Accelerator Guarantee does not apply to these additional Services provided pursuant to this Order Form.

NOR ARE THE ACCELERATOR, ITS STAFF, OR CONTRACTORS COMPENSATED ON A SUCCESS BASIS IN REGARD TO THIS ORDER FORM OR OTHER AGREEMENTS.
